Quick answer: Form 2553 goes by mail or fax to one of two IRS centers, Kansas City or Ogden, chosen by where your business physically operates. There is no e-file option. Where do you send Form 2553?

Two IRS campuses handle every Form 2553 in the country. Kansas City, Missouri covers one group of states and Ogden, Utah covers the other. Both accept the form by mail or by fax.

The routing rule is the one that trips up trucking companies specifically. It turns on where your principal business, office, or agency is physically located, not where you formed the entity and not where the shareholders live. A carrier organized in Wyoming but dispatching out of Phoenix files with Ogden, because Phoenix is where the business actually sits.

The state assignments are not a clean geographic split and the IRS has reshuffled them before. Check your own state on the IRS Where to File page for Form 2553 on the day you send it rather than working from a map or a list you saved months ago. Sending to the wrong campus can bounce the election back and push you past the deadline.

Can you file Form 2553 online?

No. There is no electronic filing channel for a standalone Form 2553. The IRS does not accept it by email, by upload, or through any online portal. Mail and fax are the only two routes.

Between the two, fax is generally the better choice, and the reason is evidence rather than speed. A transmission confirmation gives you a timestamped record showing exactly when the form went in. With mail you are relying on postmark proof you have to buy separately, and if the IRS never logs receipt, you have a difficult argument on your hands about an election worth thousands of dollars a year.

Send a cover sheet with your legal entity name, EIN, a callback number, and the page count. Keep the confirmation in your permanent records alongside the signed original.

When is the deadline?

An election is timely if the IRS receives Form 2553 no more than two months and fifteen days after the start of the tax year the election takes effect, or at any point during the preceding tax year.

For an existing calendar-year business wanting S-corp treatment for 2027, that means filing by March 15, 2027. For a brand new entity, the clock starts when the business begins rather than in January. A trucking company formed on July 10 that wants S status from day one has roughly until September 23 to get the form in.

That second case is where new carriers lose the election. They form the LLC, get the authority sorted, start hauling, and only think about tax structure at the end of the first year, by which point the window closed months earlier.

What if you missed it?

Late election relief exists and it is more generous than most people expect. Under Revenue Procedure 2013-30 you generally have up to three years and seventy five days after the intended effective date to request relief, provided the only reason the election was not valid is that you filed late, and you can show reasonable cause.

You file the same Form 2553, write the relief language at the top, and attach a statement explaining why it was late. Missing the deadline is a problem worth fixing rather than a lost year, but the relief is not automatic and the reasonable cause statement matters, so this is a good point to involve a CPA.

How long does processing take?

Expect roughly 45 to 60 days for a faxed submission and 60 to 90 days for a mailed one. Filings sent during the January through March crush take longer. Acceptance arrives as a CP261 notice, and you should keep it permanently, because it is the document that proves your S-corp status exists.

The important point is that a pending election is not a failed one. If you filed on time and the notice has not arrived, the election still takes effect from the date requested. You do not need to wait for the CP261 before running payroll, though most CPAs prefer to have it in hand first.

What gets a Form 2553 rejected?

  • Missing shareholder signatures or consents. Every shareholder has to sign.
  • An effective date that does not match the entity's actual start or tax year
  • Sending to the wrong processing campus
  • A faint scan or fax that the reviewer cannot read
  • Omitting the late election statement when relief is being requested
